Terms & Conditions

Effective date: July 31, 2026

These Terms & Conditions ("Terms") govern your use of the Captain's Quarters booking platform ("Platform"), operated by Octo Industries LLC ("Octo Industries," "we," "us," or "our"). By accessing the Platform or booking a trip through it, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Captain's Quarters is

Captain's Quarters is a software platform that lets independent charter boat operators ("Operators") list availability and accept bookings, and lets guests ("you") request and manage those bookings. Captain's Quarters is a booking and communications platform, not a charter operator. The trip itself is provided by the Operator you select. The Operator is solely responsible for the vessel, the crew, safety, and the conduct and fulfillment of the trip.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to book through the Platform. If you book on behalf of a group, you represent that you are authorized to do so and to accept these Terms for the party.

3. Bookings, deposits, and payment

  • When you submit a booking, you are making a request to the Operator. A booking is confirmed only as described on the Platform or by the Operator.
  • Pricing, deposits, and the balance due are set by the Operator. A deposit may be collected at the time of booking or arranged directly with the Operator; the remaining balance is due as the Operator specifies.
  • Payments are processed by our third-party payment processor. You agree to provide accurate payment information and authorize the applicable charges.
  • Captain's Quarters facilitates payment on the Operator's behalf and is not responsible for the Operator's pricing, tax treatment, or fulfillment.

4. Cancellations and refunds

Cancellation and refund terms are set by the Operator and shown at or before booking. Any refund is governed by that Operator's policy. Captain's Quarters facilitates refunds that an Operator authorizes but does not independently guarantee them.

5. Waivers, assumption of risk, and safety

Charter and boating activities involve inherent risks, including risk of serious injury.

The waiver is the Operator's document, not ours. Before a trip, you and your guests may be required to review and sign a liability waiver. That waiver is provided by the Operator you booked with, its terms are set by that Operator, and the agreement it creates is between you and that Operator. Octo Industries is not a party to it. We present the waiver, transmit it for signature through our electronic signature provider, and store the signed record so that you and the Operator both have it. We do not draft it, we do not review it, and we do not adopt its terms.

Electronic signature consent. By signing a waiver through the Platform you agree to do so electronically and agree that your electronic signature has the same effect as a handwritten one. You may request a paper copy from the Operator, and you may withdraw consent to sign electronically by contacting the Operator, though the Operator may then require signature by another method before the trip.

You are responsible for ensuring each guest, or a guardian for any minor, reviews and signs as required. Nothing on the Platform replaces the safety instructions or authority of the Operator and its captain. You agree to follow all lawful instructions of the crew.

6. Communications and text messaging

By providing your contact information and opting in, you consent to receive booking-related communications, including SMS text messages, as described in our Privacy Policy.

The messaging program is Captain's Quarters Booking Notifications. It is transactional only; we do not send marketing or promotional texts. Message frequency varies based on your booking activity. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Consent to receive text messages is not a condition of booking, and no mobile information is shared with third parties or affiliates for marketing or promotional purposes.

7. Your responsibilities

You agree to provide accurate information, to use the Platform only for lawful purposes, and not to interfere with or attempt to gain unauthorized access to the Platform or other users' data.

8. Intellectual property

The Platform, including its software, design, and content, is owned by Octo Industries or its licensors and is protected by law. We grant you a limited, personal, non-transferable right to use the Platform to make and manage bookings.

9. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law. Captain's Quarters does not provide charter services and makes no warranty regarding any Operator, vessel, crew, or trip, including their availability, safety, quality, or fitness. Your arrangement for a trip is between you and the Operator.

10. Limitation of liability

To the maximum extent permitted by law, Octo Industries and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any injury, loss, or damage arising from a trip provided by an Operator. Our total liability for any claim relating to the Platform will not exceed the amount of Platform fees you paid to us, if any, for the booking at issue. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Octo Industries from claims, damages, and expenses arising out of your use of the Platform, your booking, or your violation of these Terms, except to the extent caused by our own gross negligence or willful misconduct.

12. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Platform will be brought in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date. Your continued use of the Platform after changes take effect constitutes acceptance.
